Contract Terms and Conditions

Lead Data: The Client requests business card details, which shall be collected by DemandSkill in accordance with the specifications provided in this Order Form.

Fees: The Client shall pay DemandSkill the total invoice amount no later than thirty (30) days following receipt of the invoice for the services provided.

Service Period: DemandSkill shall begin performing the services on the Effective Date and continue up until the end date (the "Service Period"). During this Service Period, DemandSkill shall collect Lead Data and deliver all compliant Lead Data to the Client.

Governing Law: This Order Form shall be governed by the laws of the United States.

Return Process: To initiate the return of leads, the client must notify us within 45 days of receiving the leads. The client should provide specific details regarding the reason for the return, including any relevant documentation or evidence. This will help us review the request promptly and accurately.

Review and Approval: Our team will review the client's request and evaluate the validity of the reasons provided for the return. We may request additional information or clarification if necessary. Once the review is complete, we will communicate our decision to the client within 3 working days.

Lead Replacement or Refund: If the return request is approved, the client will have the option of receiving replacement leads. The replacement leads will be generated according to the original criteria defined by the client.

Cancellation Policy:
Unless otherwise agreed, the Services Agreement and this SOW shall automatically expire at the end of the Program Period.
Prior to the completion of the Program Period, the client and DemandSkill will discuss the next steps in respect to the continuation and ramp up of services. The parties may at such time either (a) extend the Services Agreement by entering into an Updated SOW on terms to be agreed between the parties, or (b) if the parties do not agree to an Updated SOW, the Services Agreement and this SOW shall terminate in accordance with the above paragraph.
Either the client or DemandSkill may terminate the Services Agreement and this SOW at any time (including during the Program Period) by written notice to the other party if: (a) the other party commits any material breach of its obligations under this contract and in the case of a breach capable of remedy, fails to remedy that breach within 30 days of receipt of written notice specifying such breach and requiring it to be remedied, and (b) if the other party suffers an event of insolvency.
An "Event of Insolvency" for these purposes means that in relation to a party:
(a) a liquidator, provisional liquidator, receiver, administrative receiver, administrator, or similar officer is appointed over any of the assets or business of that party;
(b) that party enters into a scheme of arrangement or composition with or for the benefit of its creditors generally;
(c) any reorganization, moratorium, or other administration with or for the benefit of that party's creditors generally or any class of its creditors;
(d) that party adopts a resolution or proposes to adopt a resolution to wind itself up or becomes unable to pay its debts as and when they fall due or deemed to become unable to pay its debts as and when they fall due, or
(e) any similar or analogous event happens under the national state or local laws of any other country.
If the campaign is canceled by the client for any reason outside of the above, a cancellation fee may be applied on top of what has already been delivered to date. This fee is outlined below:
- Cancellation fee within 2 weeks of going live: 10%
- Cancellation fee within 1 week of going live: 20%
- Cancellation fee during the campaign live period: 50%
Events consideration: If an event is advised to be moved or postponed for any reason by DemandSkill and the event is still requested to proceed, DemandSkill is not liable for any variation in the performance of said event.
